Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Smart Hub LLC, a New Mexico limited liability company doing business as CondoClock ("CondoClock," "we," "us," or "our"), governing your access to and use of the CondoClock platform at condoclock.com, including all related services, features, and applications (collectively, the "Service").

By creating an account, reserving a seat, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

CondoClock helps Florida condominium management and engineering firms track statutory compliance deadlines (such as milestone inspections under FS 553.899 and structural integrity reserve studies under FS 718.112), with source-linked, human-verified rules and county overlays. The Service is a tracking and organizational tool that includes a portfolio dashboard, board-ready status pages, county rulebooks, and deadline notifications.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account Registration

To use the Service you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, all activity under your account, notifying us of unauthorized access, and keeping your information current. We may suspend or terminate accounts with inaccurate information or that violate these Terms.

5. Acceptable Use

You agree to use the Service only for lawful purposes and NOT to: use it for any purpose other than legitimate compliance tracking; submit false or misleading information; reverse engineer or extract the source code; use bots or automated means for unauthorized access; resell or redistribute the Service without our written consent; or interfere with the integrity or performance of the Service.

6. Not Legal Advice

CondoClock is not legal advice. We track and surface deadlines and source materials to help you stay organized, but you remain responsible for your own compliance. Always verify deadlines with your own counsel. Where our information shows a gap or uncertainty, we surface it honestly rather than hide it; a human reviews and verifies the rules, but verification does not transfer your legal responsibility to us. 8. Cancellation and Refunds

You may cancel at any time through your account or by contacting serdar@condoclock.com. Upon cancellation, your subscription remains active until the end of the current billing period; you are not charged for subsequent periods; no partial refunds are provided for unused portions of a billing period unless required by law. Your data is retained for 30 days after cancellation, after which it may be permanently deleted.

9. Intellectual Property

The Service, including its design, features, code, documentation, trademarks, and all related intellectual property, is owned by Smart Hub LLC. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the data you submit (firm and building information), and you grant us a limited license to process it solely to provide the Service to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART HUB LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, OR FOR ANY PENALTIES, FINES, OR LOSSES ARISING FROM MISSED DEADLINES, RELIANCE ON THE SERVICE, OR ERRORS IN THE DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING COMPLIANCE DEADLINES WITH QUALIFIED COUNSEL.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Smart Hub LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your violation of these Terms; your violation of any applicable law or regulation; any data you submit; or your compliance decisions, filings, or actions based on deadlines, rules, or reports provided through the Service.

13. Termination

We may suspend or terminate your access at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination by contacting serdar@condoclock.com. Sections on liability, verification responsibility, "not legal advice," and indemnification survive termination.

14. Communications

By creating an account, you consent to receive transactional emails (status notifications, account confirmations, billing receipts, security alerts) — these are essential and cannot be opted out of — and product/educational emails, which you may opt out of via the unsubscribe link in every email or your account settings. Opting out of marketing does not affect transactional emails.

15. Third-Party Services

The Service depends upon third-party services for payment processing, email delivery, database hosting, and cloud infrastructure. These operate independently and are subject to their own terms. We are not responsible for outages, disruptions, or failures caused by third-party providers, and we do not guarantee their availability. If a provider becomes unavailable, we will make commercially reasonable efforts to find alternatives but are not liable for resulting impact.

16. Service Availability

We do not guarantee any specific uptime or uninterrupted availability. The Service may be temporarily unavailable due to maintenance, outages, third-party disruptions, or circumstances beyond our control. We will make commercially reasonable efforts to minimize downtime. No credits or refunds are owed for unavailability unless stated in a separate written SLA.

17. Force Majeure

Neither party is liable for failure or delay resulting from events beyond its reasonable control, including natural disasters, acts of government, pandemics, wars, internet or telecommunications outages, power failures, third-party service disruptions, or cyberattacks. The affected party will provide notice within a reasonable time and use commercially reasonable efforts to mitigate. If a force majeure event continues more than sixty (60) days, either party may terminate without penalty upon written notice.

18. Assignment

Smart Hub LLC may assign or transfer its rights and obligations (including customer accounts and data) to a successor entity in connection with a merger, acquisition, reorganization, or sale of assets, provided the successor is bound by substantially similar obligations. You may not assign your account or rights without our prior written consent.

19. Modifications to Terms

We may update these Terms. We will notify you of material changes by posting the updated Terms here and updating the "Last updated" date. Continued use after changes constitutes acceptance.

20. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict-of-law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Albuquerque, New Mexico, in accordance with the rules of the American Arbitration Association.

21. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
